Terms of Service

By creating an account or otherwise accessing the Service, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction), have read and understood these Terms and our Privacy Policy, and agree to be bound by them. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

theta journal is a personal options-trading journal and analytics tool that allows you to:

• Import brokerage transaction data via CSV upload.
• Organize trade fills into logical positions.
• View dashboards including equity curves, win rate, expectancy, and strategy breakdowns.
• Annotate positions with notes, tags, and strategy labels.
• Manage multiple brokerage accounts within a single login.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice, though we will make reasonable efforts to notify users in advance of significant changes.

Registration

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

Account security

You are responsible for safeguarding your password and for all activity that occurs under your account. Notify us immediately at hello@thetajournal.app if you suspect unauthorized access to your account. We are not liable for any loss arising from unauthorized use of your account.

One account per person

Each person may maintain only one account. Creating accounts for others, or using the Service on behalf of multiple people under a single account, is not permitted without our written consent.

Ownership

You retain full ownership of the trading data, notes, and other content you upload or create through the Service (“User Content”). By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, and display your User Content solely to operate and improve the Service.

Accuracy

You are responsible for the accuracy of the data you import. The Service parses CSV files as provided and makes no warranty that computed figures (P&L, metrics, etc.) are accurate or suitable for tax, regulatory, or investment purposes. Always verify critical figures against your broker’s official statements.

Data retention and deletion

We retain your data for as long as your account is active. You may delete individual imports from within the app. To request full account deletion, email us at hello@thetajournal.app. Deletion requests are processed within 30 days. Refer to our Privacy Policy for full details.

The Service is a record-keeping and analytics tool only. Nothing on thetajournal.app constitutes financial, investment, tax, or legal advice.

The metrics, charts, and dashboards displayed by the Service are based solely on historical data you have imported. Past performance of your trades is not indicative of future results. Options trading involves significant risk of loss, including the possible loss of the entire amount invested.

We are not a registered investment adviser, broker-dealer, or financial planner. No content on the Service should be construed as a recommendation to buy, sell, or hold any security or pursue any investment strategy. Consult a qualified financial professional before making trading decisions.

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Upload data belonging to another person without their explicit consent.
• Attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Introduce viruses, malware, or any other harmful code.
• Scrape, crawl, or systematically extract data from the Service via automated means without our written permission.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use the Service to develop a competing product or service.
• Resell or sublicense access to the Service without our written consent.

We reserve the right to suspend or terminate accounts that violate these rules, without prior notice.

The Service, including its design, code, branding, and documentation (excluding User Content), is owned by A Street Ventures LLC and protected by copyright and other intellectual property laws. These Terms do not grant you any rights in the Service other than the limited license to use it in accordance with these Terms.

The theta (θ) wordmark, logo, and the name “theta journal” are trademarks of A Street Ventures LLC. You may not use them without our prior written permission.

The Service relies on third-party infrastructure providers for database hosting and authentication services. We are not responsible for the practices of any third-party service providers.

The Service may contain links to third-party websites (e.g., broker documentation). We do not endorse and are not responsible for the content, privacy practices, or terms of those sites.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that any errors will be corrected, or that computed P&L figures will be accurate or complete.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL A STREET VENTURES LLC OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, TRADING LOSSES, LOSS OF DATA, OR BUSINESS INTERRUPTION — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES, OUR LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $10 USD.

You agree to defend, indemnify, and hold harmless A Street Ventures LLC and its members, officers, and employees from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party right, including any intellectual property or privacy right.

You may stop using the Service at any time. To close your account and request deletion of your data, email hello@thetajournal.app.

We may suspend or terminate your account if you breach these Terms, if we are required to do so by law, or if we discontinue the Service. Upon termination, your right to use the Service ceases immediately. Sections 4 (Your Data — Ownership), 5, 7, 9, 10, 11, and 13 survive termination.

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado and the United States, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Colorado, and you consent to personal jurisdiction and venue in those courts.

We reserve the right to update these Terms at any time. If we make material changes, we will update the “Last updated” date above and, for significant changes, notify you by email at least 14 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
